On August 12, 2026, we held our Annual General and Special Meeting of Shareholders — and we're pleased to share that shareholders approved every matter put to a vote.
For a company built on giving people more control over their data, good governance isn't a footnote. It's the same principle applied to the business itself: transparency, accountability, and decisions made in the open. Here's what shareholders approved.
A four-person board, re-elected
Shareholders fixed the number of directors at four and re-elected the full slate to serve until the next annual meeting:
- Neil Sweeney
- Robert Fernicola
- Brad Marks
- Jason Maguire
Auditors re-appointed
Shareholders voted to re-appoint Davidson & Company LLP as the Company's auditors for the coming year and authorized the Board to set their remuneration.
Equity incentive plan re-approved
Shareholders re-approved our 10% rolling Omnibus Equity Incentive Plan — the framework we use to grant equity-based compensation such as stock options, RSUs, DSUs, and PSUs. It's how we attract and keep the people building Reklaim, with their incentives tied directly to long-term value.
Full details are set out in our Management Information Circular dated July 15, 2026, available on SEDAR+ and through our Investor Relations portal.
June 30 grants ratified
Disinterested shareholders also approved and ratified the share-based compensation grants made on June 30, 2026: 3,581,999 stock options (exercisable at $0.06 per share for three years) and 1,099,999 RSUs (at a deemed value of $0.04 per unit). In line with TSXV Policy 4.4, participants in those grants — along with their associates and affiliates — were excluded from voting on that resolution where required.
What's next
Full voting results will be filed under the Company's profile on SEDAR+ and made available through our Investor Relations portal.
Thank you to our shareholders for your continued support. We're building a data economy where consumers can view, control, remove, and monetize their personal information — and where brands get audience data collected with real consent. This meeting is one more step in doing that as a transparent, well-governed public company.
