Reklaim Terms and Conditions

Welcome to Reklaim Ltd. ("Reklaim," "we," "our," or "us").

Reklaim provides a web-based platform (the "Platform") that enables consumers ("Users" or "you") to view, manage, protect, and control aspects of their personal data and participate in promotional programs and jackpot-based engagement opportunities offered by Reklaim (the "Services").

The Platform is accessible through a web browser on desktop and mobile devices. Reklaim does not currently provide native mobile applications.

By accessing or using the Platform or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Agreement").

IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE PLATFORM OR SERVICES.

This Agreement contains disclaimers of warranties, limitations of liability, arbitration provisions, and class action waivers that may affect your legal rights.

Reklaim may modify this Agreement from time to time at its sole discretion.

Changes may include:

• modifications to these Terms and Conditions;
• changes to the Services or Platform functionality;
• suspension or discontinuation of certain Services or features; or
• termination of access to the Platform in certain jurisdictions.

The most current version of this Agreement will govern your use of the Platform and Services.

Continued use of the Platform after changes are posted constitutes acceptance of the revised Agreement.

The Services are available only to residents of jurisdictions where the Services are legally permitted.

To use the Platform, you represent and warrant that:

• you are at least eighteen (18) years old or the age of majority in your jurisdiction of residence, whichever is greater;
• you are legally capable of entering into binding agreements;
• you are not prohibited from using the Services under applicable laws; and
• all information you provide to Reklaim is truthful, accurate, and up to date.

Certain promotional programs, including Jackpot promotions, may not be available in all jurisdictions.

The Reklaim Jackpot program is void in Québec and where otherwise prohibited by law.

Reklaim may use service providers located inside or outside of Canada and the United States to process, host, or store information.

Information processed outside your jurisdiction may be subject to foreign laws and lawful disclosure requests by courts, governments, or regulatory authorities.

To access certain Services, you must create an account ("Account").

You agree to:

• provide accurate and complete registration information;
• maintain and promptly update your information;
• maintain the confidentiality of your login credentials; and
• accept responsibility for all activity occurring under your Account.

You may maintain only one (1) Account per individual unless otherwise expressly authorized by Reklaim.

You may not:

• create multiple Accounts;
• use VPNs, proxy services, automation tools, or false identities to manipulate participation;
• impersonate another individual; or
• engage in fraudulent or abusive activity.

Reklaim reserves the right to suspend, restrict, or terminate Accounts at its sole discretion.

Accounts inactive for more than 180 consecutive days may be suspended or closed.

Users may accumulate promotional points ("Points") through participation in activities offered through the Platform, including but not limited to:

• profile completion;
• surveys and questionnaires;
• promotional participation;
• engagement activities;
• data-sharing permissions; and
• other activities designated by Reklaim.

Points are promotional in nature only.

Points:

• have no cash value;
• are not currency;
• are not redeemable for money;
• are not transferable;
• are not property;
• are not stored values;
• do not constitute a bank balance, deposit, or financial asset; and
• do not create any ownership interest or guaranteed right of compensation.

Points may only be used for participation in promotional jackpot draws or other promotional activities designated by Reklaim.

Reklaim may modify the method of earning, allocating, calculating, or using Points at any time.

Eligible users participate in Reklaim's Jackpot promotional program through the allocation or pledging of Points into promotional draws ("Jackpot Draws").

Each Point allocated into a Jackpot Draw represents one (1) promotional entry unless otherwise specified.

Jackpot Draws may occur monthly, weekly, daily, or at other intervals determined by Reklaim in its sole discretion.

As of the Effective Date of these Terms, Reklaim's standard promotional structure consists of:

• one (1) monthly grand prize Jackpot winner receiving CAD/USD $5,000 (depending on the winner's country of residence); and
• five (5) additional monthly winners, each receiving CAD/USD $1,000,

for a total promotional monthly Jackpot allocation of CAD/USD $10,000.

Notwithstanding the foregoing, Reklaim reserves the right, at any time and without prior notice, to:

• increase or decrease the total value of any Jackpot;
• modify the number of winners;
• modify prize allocation structures;
• introduce additional Jackpot promotions;
• change Jackpot frequency from monthly to weekly, daily, or other intervals; and/or
• discontinue or suspend Jackpot promotions entirely.

Any advertised Jackpot amount applies only to the specific Jackpot promotion identified at that time.

The value, frequency, structure, or availability of any future Jackpot promotion is not guaranteed and may differ from previous Jackpot promotions.

Allocating additional Points may increase the statistical probability of winning, but does not guarantee any prize or payout.

Unless otherwise prohibited by law, all eligible users participate in the Jackpot framework through the Platform's default promotional mechanics.

Participation in Jackpot promotions is subject to all applicable laws and additional promotional rules published by Reklaim.

No purchase or payment is necessary to participate in Jackpot promotions.

Eligible individuals may participate using the Alternative Form of Entry ("AFE") process described in the applicable Jackpot rules.

AFE submissions must comply with all stated requirements to be considered valid.

Reklaim reserves the right to reject incomplete, fraudulent, automated, or non-compliant entries.

The Reklaim Platform and Points program are promotional engagement programs intended to encourage participation with Reklaim's Services.

The Platform, Points, and Jackpot programs do not constitute:

• gambling;
• wagering;
• betting;
• investment products;
• securities;
• financial accounts; or
• stored-value systems.

Participation in the Services does not create:

• any vested right to future participation;
• any guarantee of winnings;
• any guaranteed compensation; or
• any guaranteed future availability of the Services.

Reklaim reserves the right to investigate any activity that it believes, in its sole discretion:

• violates this Agreement;
• manipulates or attempts to manipulate Jackpot outcomes;
• involves bots, automation, scripts, or fraudulent behaviour;
• abuses promotional systems;
• circumvents geographic restrictions; or
• compromises Platform integrity.

Reklaim may:

• suspend or terminate Accounts;
• invalidate Points or entries;
• revoke eligibility;
• cancel prizes; and/or
• pursue legal remedies where appropriate.

Reklaim's decisions regarding fraud prevention and eligibility are final.

By using the Services, you consent to receive communications from Reklaim relating to:

• your Account;
• Platform updates;
• promotional opportunities;
• Jackpot notifications;
• service announcements; and
• marketing communications.

Communications may be delivered through:

• email;
• SMS/MMS;
• browser notifications, or
• in-platform messaging.

You may opt out of promotional communications at any time, where required by applicable law.

Reklaim may continue sending transactional or service-related communications necessary for the operation of your Account.

All information collected by Reklaim is governed by the Reklaim Privacy Policy, which is incorporated into this Agreement by reference.

By using the Services, you consent to the collection, use, processing, and disclosure of your information in accordance with the Privacy Policy.

Reklaim may use data provided by users:

• to operate the Platform;
• to administer promotional programs;
• to improve Services;
• to provide data-related services;
• to comply with legal obligations; and
• for other purposes described in the Privacy Policy.

You agree not to:

• violate any law or regulation;
• infringe intellectual property rights;
• use the Platform for fraudulent or deceptive purposes;
• interfere with Platform operations;
• reverse engineer or attempt to access underlying systems;
• use automation tools, bots, scrapers, or scripts;
• create multiple Accounts;
• use VPNs or location-masking technologies to evade restrictions;
• upload malicious software or harmful code; or
• engage in abusive, harassing, discriminatory, or unlawful conduct.

Reklaim reserves the right to investigate violations and take enforcement action at its sole discretion.

The Platform, Services, trademarks, logos, designs, software, text, graphics, and related materials are owned by Reklaim or its licensors and are protected by intellectual property laws.

No ownership rights are transferred to you through use of the Platform.

You may not:

• reproduce;
• distribute;
• modify;
• reverse engineer;
• commercially exploit; or
• create derivative works

from any portion of the Platform without Reklaim's prior written consent.

Reklaim may suspend, restrict, or terminate your access to the Platform or Services at any time and for any reason, including violation of this Agreement.

You may terminate your Account at any time by discontinuing use of the Platform and requesting closure of your Account.

Upon termination:

• access to your Account may cease immediately;
• unused Points may be forfeited; and
• participation rights in promotional programs will terminate.

Reklaim shall not be liable for any loss arising from suspension or termination of Services.

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REKLAIM DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY; AND
• UNINTERRUPTED AVAILABILITY.

REKLAIM DOES NOT GUARANTEE:

• THAT THE PLATFORM WILL BE ERROR-FREE;
• THAT JACKPOT DRAWS WILL ALWAYS OCCUR ON A PARTICULAR SCHEDULE;
• THAT SERVICES WILL BE AVAILABLE IN ALL JURISDICTIONS; OR
• THAT ANY USER WILL WIN A JACKPOT PRIZE.

USE OF THE PLATFORM IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REKLAIM AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• LOSS OF DATA;
• LOSS OF PROFITS;
• LOSS OF OPPORTUNITY;
• LOSS OF POINTS; OR
• INTERRUPTION OF SERVICES.

YOUR SOLE REMEDY IS TO DISCONTINUE USE OF THE PLATFORM.

REKLAIM'S MAXIMUM AGGREGATE LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED CAD $100.

You agree to indemnify and hold harmless Reklaim and its affiliates, officers, directors, employees, agents, licensors, and partners from any claims, liabilities, losses, damages, costs, or expenses arising from:

• your use of the Platform;
• your violation of this Agreement;
• your violation of applicable laws; or
• your infringement of third-party rights.

Reklaim makes no representation that the Platform or Services are appropriate or legally available in all jurisdictions.

Users access the Platform at their own risk and are responsible for compliance with local laws.

The Platform is operated from Canada and the United States.

You and Reklaim agree that any dispute, claim, or controversy arising from or relating to this Agreement or the Services shall be resolved exclusively through final and binding arbitration.

You waive any right to:

• participate in class actions;
• participate in representative proceedings; or
• pursue claims in court except where prohibited by law.

The laws of the Province of Ontario, Canada, shall govern arbitration.

Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement constitutes the entire agreement between you and Reklaim regarding the Services and supersedes any prior agreements on the same subject matter.

Failure to enforce any provision shall not constitute a waiver.

Reklaim may assign this Agreement without restriction.

You may not assign your rights or obligations without Reklaim's prior written consent.

Headings are for convenience only and do not affect interpretation.

1. Eligibility

The Reklaim Jackpot is open to legal residents of the United States and Canada, excluding Québec, who are at least the age of majority in their jurisdiction of residence.

Void where prohibited by law.

2. Jackpot Frequency and Contest Period

Reklaim may offer Jackpot promotions on a monthly, weekly, daily, or other schedule determined by Reklaim in its sole discretion.

As of the Effective Date of these Terms, Reklaim's standard promotional structure consists of:

• one (1) monthly grand prize Jackpot winner receiving CAD/USD $5,000 (depending on the winner's country of residence); and
• five (5) additional monthly winners, each receiving CAD/USD $1,000,

for a total promotional monthly Jackpot allocation of CAD/USD $10,000.

Notwithstanding the foregoing, Reklaim reserves the right, at any time and without prior notice, to:

• increase or decrease the total value of any Jackpot;
• modify the number of winners;
• modify prize allocation structures;
• introduce additional Jackpot promotions;
• change Jackpot frequency from monthly to weekly, daily, or other intervals; and/or
• discontinue or suspend Jackpot promotions entirely.

Any advertised Jackpot amount applies only to the specific Jackpot promotion identified at that time.

The value, frequency, structure, or availability of any future Jackpot promotion is not guaranteed and may differ from previous Jackpot promotions.

Entries received after the applicable cutoff time for a Jackpot promotion may roll forward into a subsequent Jackpot promotion as determined by Reklaim.

3. Entry

Eligible users may enter Jackpot draws through:

• allocation of Points through the Platform; or
• valid Alternative Form of Entry submissions.

Each Point allocated equals one (1) entry unless otherwise disclosed.

AFE submissions must comply with all stated requirements.

Maximum entry limits may apply.

4. Jackpot Prize

Each Jackpot promotion will specify:

• the total promotional prize pool;
• the number of winners;
• the method of prize allocation; and
• the applicable entry period.

Prize amounts may vary between Jackpot promotions.

The existence, amount, or structure of any prior Jackpot promotion does not create any expectation, guarantee, or entitlement regarding future Jackpot promotions.

Prizes may be fulfilled through:

• electronic transfer;
• promotional account credit;
• points allocations;
• electronic payment methods, or
• other methods determined by Reklaim.

All prize amounts are subject to verification, eligibility review, fraud prevention procedures, and compliance with applicable laws.

5. Winner Selection and Prize Claim

Winners are selected randomly from all eligible entries received during the applicable Jackpot entry period.

Potential winners will be notified using the contact information associated with their Reklaim Account or Alternative Form of Entry submission.

To claim a prize, a selected winner must:

• respond to Reklaim's notification within seven (7) calendar days of the initial notification attempt;
• complete any required eligibility verification procedures;
• provide any documentation reasonably requested by Reklaim;
• correctly answer any required skill-testing question where applicable; and
• comply with these Terms and all applicable promotional rules.

If a selected winner:

• does not respond within seven (7) calendar days;
• cannot be contacted;
• fails verification;
• refuses the prize;
• is determined to be ineligible;
• violates these Terms; or
• otherwise fails to comply with Reklaim's requirements,

then the prize will be deemed forfeited.

In the event of forfeiture, Reklaim reserves the right, in its sole discretion and to the extent permitted by applicable law, to:

• select an alternate winner;
• donate all or part of the forfeited prize to a charitable organization selected by Reklaim; or
• elect not to award or pay out the applicable Jackpot prize.

Reklaim's decisions regarding winner eligibility, forfeiture, and prize disposition are final and binding.

6. Publicity

Except where prohibited by law, by accepting a prize, winners grant Reklaim and its affiliates the right to use the winner's:

• name;
• likeness;
• city/province/state of residence;
• photographs;
• voice;
• statements; and
• submitted content

for promotional, advertising, marketing, and publicity purposes in any media now known or later developed, worldwide and in perpetuity, without additional compensation or notice.

Reklaim may request optional participation in promotional or social media activities related to the Jackpot program.

7. Modification or Cancellation

Reklaim reserves the right to modify, suspend, or cancel Jackpot promotions at any time where reasonably necessary, including in cases of:

• fraud;
• technical failures;
• legal compliance issues; or
• operational concerns.

8. Limitation of Liability

Reklaim is not responsible for:

• technical failures;
• interrupted communications;
• unauthorized access;
• lost entries;
• corrupted data; or
• system errors affecting participation.

9. Governing Law

For Canadian residents, Jackpot promotions are governed by Ontario law and applicable Canadian federal law.

For U.S. residents, Jackpot promotions are governed by Delaware law unless otherwise required by applicable consumer protection laws.
